The terms you agree to when you use Coffer

These terms govern your use of Coffer at coffer.co.nz. By creating an account or signing in, you agree to them. If you do not agree, do not use the service.

Coffer is operated by a sole-trader based in New Zealand. References to "Coffer", "we", "us", and "our" mean that operator. References to "you" and "your" mean the person who signs in.

These terms are written in plain English where possible. Where words have a specific legal meaning under New Zealand law, that meaning applies.

Coffer is in early access. The service is currently free while the product finds its shape. Features will change as the product evolves. When pricing is introduced, you will be notified in advance - see Pricing and payment below.

Coffer is an invoicing tool for self-employed contractors in New Zealand. The core features available today are:

• Create and store invoices for your clients, with GST handled automatically.
• Generate PDF invoices and send them by email to your clients.
• Track invoice payment status, due dates, and the history of who you have sent invoices to.
• Compute an estimated portion of each received payment that should be ringfenced for GST and income tax, based on New Zealand tax brackets and rates you provide.
• Show a dashboard of what is owed to IRD, what is available to spend, and upcoming tax due dates.
• Record manual snapshots of your business bank balance to drive the "available to spend" calculation.

Features that are not in Coffer today and may be added later are noted on the public roadmap at coffer.co.nz. The roadmap is informational, not a contractual commitment.

Coffer's tax projections are estimates produced by a formula applied to the numbers you enter. They are not professional tax, legal, accounting, or financial advice. Specifically:

• The income tax estimate walks the New Zealand individual tax brackets effective from 31 July 2024 (10.5%, 17.5%, 30%, 33%, 39%). If the brackets change and Coffer has not yet been updated, the estimate will be wrong.
• Coffer estimates your ACC levies once you set up your ACC classification in Settings. It applies the standard CoverPlus levy rates for the classification you choose and sets that money aside separately from income tax. Until you set that up, estimates exclude ACC, which for most contractors is roughly 1.5% to 2% of revenue. Coffer does not model CoverPlus Extra or other agreed-cover arrangements; if you are on one, your actual levies will differ. Your ACC invoice, which ACC issues in arrears, is the authoritative figure. You can enter it in Settings to correct the estimate for that year.
• Default IRD due dates assume a 31 March balance date. If you have a special balance date (for example, 30 June or 31 December), you should set custom due dates in Settings. Coffer will use whatever dates you have set.
• Coffer does not file your tax returns. You remain responsible for filing GST returns and your annual income tax return with IRD on time.
• Coffer is not a substitute for a chartered accountant. If you are unsure about your tax position, talk to one.

To the maximum extent permitted by New Zealand law, Coffer is not liable for any under-payment, over-payment, penalty, interest, or fine assessed by Inland Revenue or any other authority arising from your reliance on Coffer's estimates.

To use Coffer you must:

• Be at least 18 years old.
• Be a self-employed contractor or sole-trader, or be authorised to act for one. As of this version, Coffer is targeted at New Zealand sole-traders. Partnerships, trusts, and look-through companies are not yet supported.
• Have a valid Google account so you can sign in with Google.
• Use the service for lawful purposes consistent with these terms and applicable New Zealand law.

You are responsible for keeping your Google account secure, including its password and multi-factor authentication. Anyone who can sign into your Google account can sign into Coffer as you.

The information you put into Coffer (business details, GST number, client information, invoice content) must be accurate and lawful for you to share. You must not enter information about other people without their knowledge or consent where that is required.

You can sign out at any time. You can request your account be deleted from Settings → Privacy inside the app. There is a 14-day grace period after approval during which you can cancel the deletion; once it elapses, your data is wiped. See the Privacy Policy for the full retention detail.

You are responsible for the content you put into Coffer. Your invoices, clients, settings, notes, and uploaded files are yours.

To run the service, you grant Coffer a non-exclusive, royalty-free, worldwide licence to host, store, transmit, and display your content solely for the purpose of providing the service to you. This licence ends when you delete the content or your account, subject to retention periods described in the Privacy Policy.

Coffer does not use your invoice content, client lists, or financial data to train any machine learning model. Coffer does not sell or share your content with advertisers or data brokers.

You can export your data from Settings → Privacy inside the app. Once a request is approved we provide a zip of your account, clients, invoices, tax events, bank snapshots, pots, settings, and email-send history as JSON files. Each invoice PDF can be downloaded individually from the Invoices page.

You agree not to:

• Use Coffer to send misleading, fraudulent, or harassing invoices, including invoices for goods or services that were not actually provided.
• Use Coffer to send spam. Coffer is for sending invoices to people you have a genuine commercial relationship with. Mass marketing emails are not what the email sending feature is for. Coffer applies sending limits to keep the platform's deliverability reputation intact; the limits are generous for normal invoicing but will block bulk-mail patterns.
• Attempt to break into other users' data, reverse engineer the service, probe for vulnerabilities outside a responsible disclosure context, or interfere with the service's operation.
• Use Coffer in a way that infringes the rights of others, breaches New Zealand law, or violates Google's OAuth terms.
• Resell access to Coffer or use Coffer as the back-end of another commercial service without our written agreement.

We may suspend or terminate your account, with or without notice, if we reasonably believe you have breached this section. Where the breach is recoverable (for example, a misunderstanding about acceptable use), we will try to contact you first.

While Coffer is in early access, the service is free. Before paid plans are introduced, all active users will be notified by email at least 14 days in advance. Accounts created during early access will keep free access for an extended transition period after paid plans launch, before being asked to choose a plan.

After that transition period, an account without a paid plan may become limited: you would no longer be able to add or change records, but you will always retain access to view and export your existing data, and your rights under the Privacy section (including data export and deletion) are unaffected.

When paid plans are introduced, billing will be processed through Stripe. Coffer will publish the pricing and accepted payment methods at that time. These terms will be revised to include payment terms, refund policy, and cancellation rights before any charges are made.

GST will be added to Coffer's prices for New Zealand customers in accordance with the Goods and Services Tax Act 1985.

Coffer is provided on a best-effort basis. While we try hard to keep the service running and to back up your data, we do not offer a service level agreement (SLA), uptime guarantee, or financial credit for downtime at the early-access stage. The hosting providers Coffer relies on (Vercel, Neon) have their own availability characteristics, which propagate to Coffer.

Planned maintenance windows, where required, will be announced ahead of time on coffer.co.nz. Unplanned outages will be communicated by email if they affect you materially.

If Coffer is ever permanently shut down, we will give you at least 60 days' notice and a way to export your data before access is removed.

The Coffer name, wordmark, software code, design, documentation, and accumulated know-how are owned by Coffer or its licensors. Nothing in these terms transfers any of those rights to you. You may not copy or redistribute Coffer's software or branding without permission.

Coffer's open-source dependencies (Next.js, React, Drizzle, etc.) are licensed under their respective terms and are not affected by this section.

You are using Coffer in trade (as a self-employed contractor for the purposes of your business). Section 43 of the New Zealand Consumer Guarantees Act 1993 allows the consumer guarantees in that Act to be contracted out of where the goods or services are supplied to a person in trade. You agree that the guarantees in the Consumer Guarantees Act 1993 do not apply to Coffer's provision of the service to you.

Coffer's obligations under the Fair Trading Act 1986 cannot be excluded and are not affected by these terms.

To the maximum extent allowed by law:

• Coffer is provided "as is". We do not guarantee that the service will be error-free, uninterrupted, or fit for any particular purpose.
• Coffer is not liable for any indirect, consequential, or special loss, including lost profits, lost business opportunities, loss of data not caused by our gross negligence, or for tax assessments by IRD or any other authority arising from your reliance on Coffer's estimates.
• Coffer's total liability to you for any claim arising out of or in connection with the service is capped at the greater of (a) the total amount you have paid Coffer in the 12 months immediately before the claim, or (b) NZ$100.

You agree to indemnify Coffer against any third-party claims arising from your use of the service in breach of these terms or applicable law.

You can stop using Coffer at any time. To delete your account and the data it holds, use the Settings → Privacy page inside the app; you have a 14-day grace period after approval during which you can cancel. See the Privacy Policy for what is retained after deletion.

We may suspend or terminate your account if you breach these terms, if we are required to by law, or if continuing to provide the service to you would expose Coffer or other users to material risk. If your account is suspended you will see a message explaining this when you sign in, and you can contact us to discuss it. Where possible we will give notice before suspending.

Sections that by their nature should survive termination (notably ownership, liability limits, and governing law) survive.

We may update these terms as the service evolves. When the change is material (for example, when paid plans are introduced or the liability section is changed in a way that affects you), we will notify active users by email at least 14 days before the change takes effect. Continued use of Coffer after a change means you accept the updated terms. If you do not accept them, your remedy is to stop using Coffer.

Small editorial changes (typos, link updates, clarifications that do not change meaning) will not be separately notified.

These terms are governed by the laws of New Zealand. Any dispute arising out of or in connection with these terms or your use of Coffer is subject to the exclusive jurisdiction of the courts of New Zealand.

Before starting court proceedings, we both agree to make a genuine attempt to resolve the dispute by talking, including by mediation in Wellington if that helps. This is not an additional precondition required by law; it is a request to try to be reasonable people about it first.
